Parker & Hay offers a range of legal services to banks, businesses, insurance companies, municipalities and other governmental bodies/agencies and individuals.

Banking & Business Services

Assist with lending issues, Uniform Commercial Code issues, directors’ and officers’ liability, Check-21 issues, Bank Secrecy Act issues, National Bank Act issues, Fidelity Bond matters, and many other banking issues.

Assist with initial incorporation matters including advising as to form of incorporation (C-Corp., Sub-S, LLC, etc.); Preparing incorporation documents including Articles of Incorporation, Articles of  Organization (LLC), Partnership Agreements, etc.; preparation of corporate bylaws and operating agreements (LLC), stockholders and directors meeting minutes.

Assist with stockholder matters and Board of Directors issues such as fiduciary duties of directors, employment matters, corporate succession.
Work closely with banking and business clients throughout the year and at the end of the corporate fiscal year to assist with stockholder and director meetings and meeting minutes.

Advise banking and business clients regarding ongoing business and transactional issues.

Assist banking and business clients with various employee matters, including but not limited to advising and preparing employee policies and manuals, employee disciplinary matters, employee terminations and severance, reductions in workforce, and providing a defense against complaints filed with the state or federal employment agencies, such as EEOC, Kansas Human Rights Commission and other agencies.

Referral of—and collaboration with—accounting and other professionals.

Provide legal advice and representation to banking and business clients throughout sale, purchase or merger transactions from initial confidential letter of intent and due diligence through completion of transaction.

Litigation & Support Services

Provide litigation and support services to state, local, and municipal governments, banks, businesses, and individuals in both state and federal courts.

Represent insurance companies and insureds in litigation arising out of banking, automobile, commercial and homeowners insurance coverage.

Areas of litigation practice at Parker & Hay, LLP include but are not limited to civil rights litigation, governmental and municipality liability, creditors’ rights, construction law, personal injury defense, and employee and labor relations, lender liability, and directors and officers liability.

Provide legal representation to insurance companies in relation to insurance policy coverage/obligation issues.
